3. Service Description

Tessarai provides AI consulting and implementation services including Natural Language Processing Solutions, AI Readiness Assessments, and Machine Learning Model Optimisation. Service details, deliverables, timelines, and pricing are specified in individual service agreements. Services are available to organisations operating in Singapore and internationally.

4. User Responsibilities

You agree to provide accurate information when engaging our services, maintain confidentiality of any login credentials, use our services only for lawful purposes, not attempt to interfere with or disrupt our services, and respect intellectual property rights.

5. Intellectual Property

We retain ownership of our methodologies, frameworks, and general knowledge. You retain ownership of your data and pre-existing intellectual property. Deliverables created specifically for your project are licensed to you under terms specified in the service agreement. You may not reproduce, distribute, or create derivative works from our proprietary materials without written permission.

6. Payment Terms

Service fees are quoted in Singapore Dollars (SGD) and specified in individual agreements. Payment terms are typically 50% upon engagement commencement and 50% upon completion, unless otherwise agreed. Invoices are payable within 30 days of issue. Late payments may incur interest at 1.5% per month.

AI Readiness Assessment

Assessment findings are based on information provided and current conditions. Recommendations do not constitute guarantees of specific outcomes. The assessment report is confidential and for your organisation's internal use.

NLP Solutions & ML Optimisation

Model performance depends on data quality and may vary. We provide training and documentation but cannot guarantee specific accuracy levels. You are responsible for monitoring and maintaining deployed systems.

8. Disclaimers

Services are provided "as is" without warranties of any kind. We do not guarantee specific outcomes or performance metrics. We are not responsible for losses resulting from your use of AI systems. Our advice does not constitute legal, financial, or medical counsel.

9. Limitation of Liability

Our total liability to you shall not exceed the fees paid for the specific service. We are not liable for indirect, incidental, consequential, or punitive damages. This limitation applies to all claims, whether based on contract, tort, or other legal theory.

10. Indemnification

You agree to indemnify and hold harmless Tessarai from claims arising from your use of our services, violation of these terms, or infringement of third-party rights.

11. Termination

Either party may terminate services with 30 days written notice. Upon termination, you must pay for work completed. We will deliver all completed deliverables and documentation. Confidentiality and intellectual property provisions survive termination.

12. Dispute Resolution

These terms are governed by Singapore law. Any disputes shall be resolved through good faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration in Singapore. The arbitration will be conducted in English under the Singapore International Arbitration Centre (SIAC) rules.

13. General Provisions

These terms constitute the entire agreement between parties. If any provision is found invalid, the remaining provisions continue in effect. Our failure to enforce any right does not waive that right. We may assign our rights and obligations with reasonable notice.

14. Changes to Terms

We may update these terms periodically. Changes become effective upon posting to our website. Continued use of services after changes indicates acceptance. For significant changes, we will provide notice via email or website notification.
